Terms of Service

1. Agreement and operator

These Terms of Service (the Terms) govern access to Velo, a hosted review service operated by Meridian Studios (Meridian, we, us, or our). By creating an account, accepting an invitation, opening a verified review session, or using Velo, you agree to these Terms, the Privacy Policy, and the Acceptable Use and Capture Authorization Policy. If you use Velo for an organization, you represent that you may bind that organization. If you do not agree, do not use Velo.

2. Eligibility and beta access

You must be at least 18 years old and legally able to enter a contract. Velo is currently invite-only. An invitation is personal to its intended recipient unless Meridian expressly permits transfer. You must provide accurate account information, protect access to your email and sessions, and promptly report suspected unauthorized access. We may refuse, suspend, or revoke beta access to protect Velo, its users, or third parties.

3. The service

Velo lets creators organize projects, upload images, request bounded website captures, publish immutable review releases, share community or pairwise-private review links, collect element-anchored feedback, manage tasks and decisions, use Brand Books, and export review records. A published release is a snapshot; later local or source changes do not silently replace it. Features may evolve during the beta, but changes do not reduce rights already granted under these Terms without notice where notice is legally required.

Velo does not guarantee that a remote website capture reproduces every script, animation, authenticated state, font, browser behavior, or third-party resource. Review evidence records what Velo captured in the stated release and device context; it is not proof of every possible rendering.

4. Your content and permissions

You retain ownership of material you upload, capture, write, or submit, including source assets, Brand Books, comments, replies, tasks, and decisions (Your Content). You grant Meridian a non-exclusive, worldwide, limited license to host, copy, transform, render, secure, transmit, back up, and display Your Content only as needed to operate, support, protect, and improve Velo and to carry out actions you explicitly request. This license ends when the content is deleted from active systems, subject to reasonable backup, security, legal, and dispute-retention periods.

You represent that you have the rights and authority needed to submit Your Content, capture each website, invite reviewers, and grant this license. You are responsible for choosing community or private review access, checking recipients, setting expiration or revocation controls, and avoiding secrets or personal information that is unnecessary for review.

5. Reviews, privacy, and attribution

Community review feedback is visible to verified participants in that community review. Private review feedback is intended to remain within the creator-and-reviewer conversation authorized for that session. Reviewers may not attempt to access another private conversation. Creators may reply, resolve, close, block, revoke, or export as the product permits. Reviewers may close or block as the product permits.

Velo preserves attribution and evidence such as the author, release, source route, selected element or region, screenshot evidence, viewport, device context, timestamps, replies, and task or decision state. You must not remove attribution in a misleading way, impersonate another person, or represent altered evidence as an original Velo record.

6. Integrations and external services

Optional integrations may include GitHub, remote MCP servers, or bounded HTTP services. You control whether to connect them and which reviewed action payload to send. External services are governed by their own terms and privacy practices. You are responsible for having authority to connect an account and disclose the selected data. Velo does not control an external service after data leaves Velo. Disconnecting an integration prevents new authorized actions but may not delete data already received by that provider.

7. Acceptable use

You must follow the Acceptable Use and Capture Authorization Policy. Among other things, you may not use Velo for unauthorized private-site access, credential collection, malware, harassment, unlawful surveillance, intellectual-property infringement, service disruption, security-control evasion, or attempts to reach private, local, link-local, or cloud-metadata networks. We may investigate suspected abuse, preserve relevant records, restrict captures or links, remove or disable access to content, and suspend accounts when reasonably necessary.

8. Intellectual property

Velo, its interface, software, documentation, and branding are owned by Meridian or its licensors and are protected by applicable law. These Terms do not transfer ownership of Velo to you. You may give feedback about Velo; if you do, you grant Meridian permission to use that feedback without restriction or payment, but not to identify you publicly without permission.

Copyright complaints and counter-notices are handled under the Copyright and DMCA Policy. Meridian may terminate accounts of repeat infringers in appropriate circumstances.

9. Availability, changes, and termination

We work to keep Velo available and secure, but beta access is provided without an uptime commitment. Maintenance, provider failures, security incidents, legal requests, or events outside our reasonable control may interrupt service. You may stop using Velo at any time and request account export or deletion through the product. We may suspend or terminate access for material breach, unlawful conduct, security risk, nonpayment if paid plans are later introduced, or discontinuation of the service. Where practical and lawful, we will provide notice and a reasonable export opportunity.

Sections that by their nature should survive termination—including ownership, accrued payment obligations, disclaimers, liability limits, indemnity, dispute terms, and legally required records—remain effective.

10. Disclaimers

To the fullest extent permitted by law, Velo is provided as is and as available. Meridian disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Velo is a review and evidence-management tool, not legal, compliance, accessibility, security, or professional advice. You remain responsible for decisions made from review feedback and for independently validating source material before publication.

Some jurisdictions do not allow particular warranty exclusions, so those exclusions apply only to the extent permitted.

11. Limitation of liability

To the fullest extent permitted by law, Meridian and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, arising from Velo or these Terms. Meridian's total liability for all claims arising from Velo will not exceed the greater of (a) the amount you paid Meridian for Velo during the 12 months before the event giving rise to the claim or (b) US $100.

These limits do not apply where prohibited by law or to liability that cannot legally be limited. Nothing in these Terms limits statutory consumer rights that cannot be waived.

12. Indemnity

If you use Velo on behalf of a business or organization, you will defend and indemnify Meridian and its personnel against third-party claims, damages, and reasonable costs arising from Your Content, your unauthorized capture or disclosure, your connected integrations, or your material violation of these Terms or applicable law. This obligation does not apply to the extent a claim results from Meridian's own unlawful conduct, gross negligence, or willful misconduct.

13. Disputes and governing principles

Before filing a claim, contact legal@meridianproject.studio and give us 30 days to attempt an informal resolution. These Terms are governed by the laws applicable where Meridian Studios is established, without regard to conflict-of-law rules, except that mandatory consumer protections in your place of residence continue to apply. Any dispute not resolved informally may be brought in a court with lawful jurisdiction over the parties and subject matter. We do not require individual arbitration or a class-action waiver under these Terms.

14. General terms

We may update these Terms to reflect service, legal, or security changes. We will publish the revised version and effective date and request renewed acceptance when a material change requires it. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Meridian may assign them as part of a merger, reorganization, financing, or transfer of the service. These Terms and the incorporated policies are the complete agreement about Velo and replace prior agreements on the same subject.
